Terms and Conditions

These terms govern your use of Go2Invoice and are a binding agreement between you and NXTKRAFT SOLUTIONS (OPC) PRIVATE LIMITED.

1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of the Go2Invoice website at go2invoice.in, the Go2Invoice web application at dashboard.go2invoice.in, and related services (together, the "Service"), provided by NXTKRAFT SOLUTIONS (OPC) PRIVATE LIMITED, a company incorporated under the laws of India with its registered office at Bhimavaram, West Godavari, Andhra Pradesh 534201, India ("Company", "we", "us" or "our").

By creating an account, starting a trial, purchasing a subscription or otherwise using the Service, you agree to these Terms and to our Privacy Policy and Refund & Cancellation Policy. If you use the Service on behalf of a business, you confirm that you are authorised to bind that business, and "you" refers to that business. If you do not agree, do not use the Service.

2. The Service

Go2Invoice is a cloud software-as-a-service (SaaS) application for billing, invoicing, GST compliance, payments, expenses, inventory, banking and accounting. Features available to you depend on your subscription plan as described on our pricing page.

The Service is a tool to help you prepare documents, records and reports. You remain responsible for the accuracy of the information you enter, for the tax treatment you choose, and for your compliance with applicable laws, including GST, income-tax and accounting laws. The Service does not provide legal, tax or accounting advice; consult a qualified professional where needed. Reports such as GSTR-1 and GSTR-3B summaries help you file returns but are not filed by us on your behalf.

3. Eligibility and accounts

  • You must be at least 18 years old and capable of entering into a binding contract under the Indian Contract Act, 1872.
  • You must provide accurate, complete and current information when you register and keep it updated.
  • Sign-in is by one-time codes sent to your email address or by Google sign-in. You are responsible for keeping access to your email and Google accounts secure and for all activity under your account. Notify us immediately at [email protected] of any unauthorised use.
  • Account administrators may invite other users and assign roles. You are responsible for the users you invite and their actions in your organization.
  • API keys you create are confidential. You are responsible for all requests made with your API keys and must revoke keys that may be compromised.

4. Free trial and free plan

New organizations may receive a free trial of a paid plan for the period shown at sign-up (currently 5 days of the Professional plan). No payment is taken for the trial. At the end of the trial, unless you subscribe to a paid plan, your organization moves to the Free plan and features or usage beyond the Free plan's limits become unavailable; your data is retained.

We may change, limit or discontinue free trials and the Free plan at any time, prospectively.

5. Subscriptions, fees and payment

  • Plans and prices. Paid plans are offered on a monthly or yearly basis at the prices shown on our pricing page and in the application at the time of purchase. All prices are in Indian Rupees (INR).
  • Payment processing. Subscription payments are processed by Razorpay Software Private Limited ("Razorpay"). By paying, you also agree to Razorpay's terms. We do not receive or store your full card, UPI or bank account details.
  • Automatic renewal. Subscriptions renew automatically at the end of each billing period and the applicable fee is charged to the payment method authorised through Razorpay, until you cancel.
  • Upgrades and changes. When you change plans or billing period, the new plan applies from the start of the new subscription and your previous subscription is cancelled.
  • Failed payments. If a renewal payment fails, Razorpay may retry it. If payment is not received, paid features may be suspended and your organization may move to the Free plan.
  • Price changes. We may change prices for future billing periods. Changes do not affect a period you have already paid for.
  • Taxes. You are responsible for any taxes applicable to your purchase, other than taxes on our income.

6. Cancellation and refunds

You can cancel your subscription at any time from the Subscription page in the application. Cancellation takes effect at the end of the current billing period, and you keep access to paid features until then. Refunds are governed by our Refund & Cancellation Policy.

7. Your data

  • Ownership. You own all data and content you or your users enter into the Service ("Your Data"), including customer, vendor, item, transaction and financial information.
  • Licence to us. You grant us a limited licence to host, process, transmit and display Your Data solely to provide, secure and support the Service and as described in our Privacy Policy.
  • Your responsibilities. You confirm that you have the rights and, where required, the consent of individuals to enter Your Data, including your customers' and vendors' contact details, and that Your Data does not violate any law or third-party right.
  • Export and deletion. You can export reports and records from the application. On termination, we may delete Your Data after a reasonable period, as described in the Privacy Policy.

8. Third-party services

The Service works with third-party services that you choose to use, such as Razorpay (for your subscription and, if you connect your own Razorpay account, for your customers' invoice payments), Google (for sign-in) and your own email server (SMTP). Your use of those services is governed by their terms. Payments your customers make to you through your own Razorpay account are transactions between you and your customers; we are not a party to them and are not responsible for their settlement, refunds, chargebacks or disputes.

9. Acceptable use

You agree not to:

  • use the Service for any unlawful, fraudulent or misleading purpose, including issuing fake or fraudulent invoices or evading tax;
  • send unsolicited bulk email (spam) or harmful content through the Service;
  • attempt to gain unauthorised access to the Service, other accounts or our systems, or probe, scan or test their vulnerability without our written permission;
  • interfere with or disrupt the Service, exceed API rate limits deliberately, or introduce malware;
  • copy, modify, reverse engineer, resell or create derivative works of the Service except as permitted by law; or
  • use the Service to build a competing product.

We may suspend or terminate access that violates these Terms or threatens the security or availability of the Service.

10. Intellectual property

The Service, including its software, design, text, graphics, logos and trademarks (excluding Your Data), is owned by or licensed to NXTKRAFT SOLUTIONS (OPC) PRIVATE LIMITED and is protected by intellectual property laws. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business purposes during your subscription. Feedback you give us may be used without obligation to you.

11. Availability and changes to the Service

We aim to keep the Service available and secure, but it is provided on an "as is" and "as available" basis. It may be interrupted for maintenance, updates or reasons beyond our control. We may add, change or remove features; where a change materially reduces the paid features of your current plan, we will give reasonable notice.

12. Disclaimer and limitation of liability

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, and we do not warrant that the Service will be error-free or that calculations, reports or tax treatments will meet your specific legal requirements.

To the maximum extent permitted by law, the Company will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, goodwill or business opportunities, arising out of or related to the Service. Our total aggregate liability for any claim arising out of or relating to the Service or these Terms will not exceed the fees you paid to us for the Service in the three (3) months before the event giving rise to the claim.

13. Indemnity

You agree to indemnify and hold harmless the Company, its directors, employees and agents from any claims, losses, liabilities and expenses (including reasonable legal fees) arising from Your Data, your use of the Service, your violation of these Terms or of any law, or disputes between you and your customers, vendors or users.

14. Suspension and termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access, with notice where practicable, if you breach these Terms, fail to pay fees, or if required by law. On termination, your right to use the Service ends. Sections that by their nature should survive termination (including Your Data, intellectual property, disclaimers, limitation of liability, indemnity and governing law) will survive.

15. Governing law and disputes

These Terms are governed by the laws of India. Subject to the grievance process below, the competent courts in India shall have jurisdiction over any dispute arising out of or relating to these Terms or the Service. We encourage you to contact us first so we can try to resolve any concern informally.

16. Changes to these Terms

We may update these Terms from time to time. The updated version will be posted on this page with a new "Last updated" date. If changes are material, we will notify account administrators by email or in the application before they take effect. Continued use of the Service after changes take effect means you accept the updated Terms.
